VERIQAL END USER LICENSE AGREEMENT

This End User License Agreement (“Agreement”) is entered into between VeriQal, LLC (“VeriQal,” “Company,” “we,” “us,” or “our”) and the person or business accessing or using VeriQal’s software, platform, website, services, applications, tools, beta features, or related products (“User,” “you,” or “your”).
By creating an account, purchasing a subscription, logging in, accessing the platform, or using VeriQal, you agree to this Agreement. If you do not agree, do not use VeriQal.
1. Purpose of VeriQal
VeriQal provides workflow, scheduling, reporting, transcript-support, case-support, productivity, document-assistance, and related legal-support software tools. VeriQal may include products or modules such as VeriQal Flow, VeriQal Reporter, VeriQal Complete, beta features, automation tools, document export tools, scheduling tools, calendar features, transcript-formatting support, and other related services.
VeriQal is a software tool. VeriQal does not replace the professional judgment of a court reporter, digital court reporter, transcriber, proofreader, scopist, attorney, paralegal, legal assistant, notary, or any licensed professional.
2. No Legal Advice
VeriQal does not provide legal advice, legal representation, legal opinions, or court-certified legal conclusions. Any templates, summaries, formatting tools, transcript-support tools, case organization tools, or workflow suggestions are provided for administrative and productivity purposes only.
You are responsible for reviewing all content, documents, transcripts, captions, exports, summaries, filings, deadlines, schedules, client information, and final work product before use, delivery, filing, service, or reliance.
3. License to Use the Platform
Subject to this Agreement and your active subscription, VeriQal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business, professional, or personal workflow purposes.
You may not sell, sublicense, rent, lease, copy, reverse engineer, reproduce, redistribute, scrape, misuse, duplicate, resell, or commercially exploit VeriQal without written permission from VeriQal, LLC.
4. Account Responsibility
You are responsible for maintaining the confidentiality of your username, password, login credentials, account access, client information, and uploaded materials.
You agree to notify VeriQal promptly if you believe your account has been accessed without authorization.
You are responsible for all activity under your account unless caused directly by VeriQal’s proven misconduct or system failure.
5. Authorized Users
Each subscription is for the individual user, business, team, firm, agency, or organization level purchased. Unless your plan specifically allows multiple users, seat sharing is not permitted.
You may not share your login with unauthorized individuals. Client access codes, reporter access, team access, beta access, or other permission-based access features may not be sold, transferred, or used outside the intended matter, client, or workflow.
6. User Content and Uploaded Materials
“User Content” includes any information, files, audio, video, transcripts, captions, case data, names, parties, attorney information, court information, exhibits, documents, notes, schedules, messages, templates, images, PDFs, Word documents, text files, calendar information, or other materials you upload, enter, transmit, store, or process through VeriQal.
You retain ownership of your User Content.
By using VeriQal, you grant VeriQal a limited right to process, store, transmit, display, convert, format, organize, and use your User Content only as reasonably necessary to provide the platform and services.
VeriQal does not claim ownership of your client files, transcripts, case information, legal documents, or uploaded work product.
7. Confidentiality and Sensitive Information
VeriQal understands that users may handle confidential, legal, business, court, client, or case-related information. VeriQal will use commercially reasonable efforts to protect information processed through the platform.
However, you are responsible for determining whether you have the legal right, client permission, court permission, protective-order authority, agency authorization, or business authority to upload, store, or process any information through VeriQal.
You agree not to upload information that you are prohibited from uploading by law, contract, protective order, court order, confidentiality agreement, agency policy, employer policy, or professional obligation.
Unless VeriQal separately signs a specific written agreement, VeriQal is not representing that the platform is designed for HIPAA-regulated protected health information, criminal justice information services compliance, sealed court records, classified information, or any specialized regulated-data environment.
8. User Accuracy Responsibility
VeriQal may assist with formatting, scheduling, organization, exports, transcript workflow, document preparation, proofreading support, or other productivity functions. VeriQal does not guarantee that any output is complete, court-compliant, jurisdiction-compliant, grammatically perfect, legally sufficient, deadline-safe, admissible, certified, or error-free.
You are responsible for final review and approval of all documents, transcripts, schedules, captions, exports, client communications, court communications, and legal-support work product.
9. Beta Features and Early Access
Some VeriQal features may be released as beta, test, preview, early-access, Phase 1, Phase 2, experimental, or limited-release features.
Beta features may contain bugs, limitations, design changes, missing features, data limitations, performance issues, or incomplete functionality. VeriQal may modify, pause, discontinue, rename, rebuild, replace, or remove beta features at any time.
Use beta features at your own risk and always keep independent backups of important information.
10. Acceptable Use
You agree not to use VeriQal to:

Violate any law, court order, contract, or professional duty.

Upload information you do not have permission to use.

Infringe intellectual property rights.

Harass, threaten, impersonate, defame, or harm others.

Reverse engineer or attempt to copy the platform.

Circumvent payment, subscription, access, security, or account restrictions.

Interfere with platform performance, security, hosting, servers, databases, or third-party integrations.

Upload malware, spyware, viruses, harmful code, or malicious files.
-
Use VeriQal to create competing software, mimic proprietary features, or commercially exploit platform design without permission.

Misrepresent VeriQal outputs as certified, official, court-approved, attorney-reviewed, or legally verified unless properly reviewed and certified by the appropriate professional.
11. Intellectual Property
VeriQal, including its name, logo, branding, software, workflows, designs, features, platform structure, code, user interface, templates, proprietary tools, documentation, and related materials, belongs to VeriQal, LLC or its licensors.
You may not copy, clone, reproduce, imitate, resell, scrape, reverse engineer, or create derivative software based on VeriQal.
Feedback, suggestions, ideas, feature requests, bug reports, and improvement recommendations you submit may be used by VeriQal without compensation or obligation to you.
12. Third-Party Services
VeriQal may use or connect with third-party services, including payment processors, hosting providers, calendar integrations, email providers, cloud storage, authentication providers, or other vendors.
VeriQal is not responsible for third-party outages, account restrictions, pricing changes, service failures, integration limits, data practices, or errors caused by third-party providers.
13. Platform Availability
VeriQal aims to provide reliable access, but we do not guarantee uninterrupted, error-free, or permanent availability. Maintenance, updates, hosting issues, internet outages, third-party failures, user device issues, or security events may affect access.
You are responsible for maintaining your own backups of important documents, transcripts, schedules, exports, and work product.
14. Suspension or Termination
VeriQal may suspend or terminate your access if:

Your payment fails.

Your subscription is canceled or expires.

You violate this Agreement.

Your use creates security, legal, operational, or reputational risk.

You misuse the platform or attempt unauthorized access.

VeriQal is required to do so by law, court order, payment processor, or third-party provider.
You may stop using VeriQal at any time. Canceling your subscription does not automatically delete prior obligations, unpaid balances, or payment responsibilities already incurred.
15. Data After Cancellation
After cancellation, expiration, or termination, your account access may be limited or removed. VeriQal may retain certain records as needed for legal, tax, billing, audit, security, dispute, fraud-prevention, or business-record purposes.
You should export or save your needed information before canceling whenever possible.
16. Disclaimers
VeriQal is provided “as is” and “as available.” To the fullest extent permitted by law, VeriQal disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted access, and error-free operation.
VeriQal does not guarantee that the platform will meet every court, jurisdiction, firm, agency, reporter, attorney, formatting, transcript, scheduling, invoicing, workflow, or compliance requirement.
17. Limitation of Liability
To the fullest extent permitted by law, VeriQal, LLC will not be liable for indirect, incidental, special, consequential, punitive, exemplary, lost-profit, lost-revenue, lost-data, missed-deadline, lost-client, reputational, court-related, legal, professional, or business-interruption damages.
VeriQal’s total liability for any claim related to the platform will not exceed the amount you paid to VeriQal during the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless VeriQal, LLC from claims, damages, losses, costs, fees, liabilities, and expenses arising from your:

Use or misuse of the platform.

Uploaded content or client information.

Violation of this Agreement.

Violation of law, court order, professional duty, or third-party rights.

Unauthorized sharing of account access.
-
Use of VeriQal outputs without proper review.
19. Changes to VeriQal or This Agreement
VeriQal may update the platform, pricing, features, services, policies, and this Agreement from time to time. Material changes will be posted on the website, within the platform, or sent by email when appropriate.
Continued use of VeriQal after changes become effective means you accept the updated terms.
20. Governing Law
This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Any dispute related to this Agreement or VeriQal shall be handled in the appropriate state or federal courts located in Virginia, unless applicable law requires otherwise.
