Welcome to VeriQal. These Terms of Service (“Terms”) govern your access to and use of VeriQal, VeriQal Flow, VeriQal Reporter, VeriQal Legal, VeriQal-related websites, software, applications, tools, dashboards, scheduling features, workflow features, calendar features, document/template features, integrations, subscriptions, and related services collectively referred to in these Terms as the “Services.”

VeriQal is operated by VeriQal, LLC. Throughout these Terms, “VeriQal,” “we,” “our,” and “us” refer to VeriQal, LLC, the owner and operator of the Services. “User,” “you,” and “your” refer to any individual, business, company, organization, account holder, workspace owner, workspace member, invited user, client, contractor, visitor, or other person who accesses or uses the Services.

By accessing or using VeriQal, creating an account, accepting an invitation, connecting a calendar or third-party integration, entering information, purchasing a subscription, using a trial, or using any portion of the Services, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Purpose of VeriQal

VeriQal is a professional workflow technology platform designed to support court reporting, legal support, scheduling, administrative workflow, job management, calendar coordination, reporter assignments, client information management, team access, document/template handling, and related business operations.

VeriQal is a software and workflow platform. VeriQal does not provide legal advice, legal representation, legal opinions, court reporting certification, attorney services, paralegal services, case strategy, court filings, legal conclusions, or professional legal judgment. Use of VeriQal does not create an attorney-client relationship, court reporter-client relationship, agency relationship, fiduciary relationship, or any professional services relationship between VeriQal and any user.

Users are solely responsible for how they use the Services and for ensuring that their use complies with all applicable laws, court rules, professional responsibilities, confidentiality duties, client obligations, contractual requirements, and workplace policies.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services.

If you use VeriQal on behalf of a business, law firm, court reporting company, legal support company, agency, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

You may not use VeriQal if you are prohibited from doing so by applicable law, court order, contract, professional rule, or these Terms.

3. Accounts and Login Credentials

To access certain features, you may be required to create an account, accept an invitation, or log in through an approved authentication method. You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials, passwords, authentication methods, access links, invite codes, and account access. You are responsible for all activity that occurs under your account, workspace, or credentials, whether authorized by you or not.

You agree to notify VeriQal promptly if you suspect unauthorized access, account misuse, compromised credentials, security concerns, or improper workspace access.

VeriQal is not responsible for losses caused by your failure to protect your account, device, password, login credentials, or workspace access.

4. Workspaces, Seats, Roles, and Access

VeriQal may allow users to create or manage workspaces, invite team members, assign roles, manage job access, and control permissions. Access may be based on subscription plans, paid seats, owner-granted seats, beta access, trial access, manual access, internal access, or other approved access settings.

A “seat” generally means one authorized user license or workspace access slot, unless otherwise stated in the applicable plan, checkout page, invoice, or written agreement.

Workspace owners and administrators are responsible for determining who may access their workspace and what permissions each user should have. Roles may include owner, admin, scheduler, reporter, client, viewer, or similar permission levels. Role names, access levels, and permissions may change as VeriQal develops.

Users may not share seats, accounts, passwords, or access credentials unless expressly permitted by VeriQal. Each user must use their own authorized login unless VeriQal provides a different approved access method.

VeriQal reserves the right to suspend, limit, remove, or modify any account, workspace, user, seat, invitation, role, or access permission if we determine that access is being misused, violates these Terms, creates risk, exceeds authorized limits, or may harm VeriQal, its users, or third parties.

5. Subscriptions, Billing, and Payment

Certain features may require a paid subscription, seat-based plan, one-time fee, recurring fee, add-on fee, usage-based fee, or other payment arrangement. By purchasing or using a paid feature, you authorize VeriQal or its third-party payment processor to charge applicable fees according to the plan, checkout page, invoice, subscription agreement, or payment terms presented at the time of purchase.

Unless otherwise stated, subscription fees are billed in advance and may automatically renew until canceled. You are responsible for maintaining accurate billing information and for paying all fees when due.

VeriQal may use third-party payment processors. VeriQal does not intentionally store full credit card numbers on its own systems. Payment processors may have their own terms, privacy policies, security practices, and dispute processes.

Failure to pay required fees may result in suspension, limitation, downgrade, or termination of access.

6. Trials, Beta Access, Promotional Access, and Manual Access

VeriQal may offer trial access, beta access, discounted access, promotional access, internal access, complimentary access, manually granted access, or early access. These access types may be limited, modified, extended, suspended, revoked, or ended at VeriQal’s discretion unless a separate written agreement states otherwise.

Beta, testing, preview, experimental, or early-access features may be incomplete, unstable, limited, changed, removed, or unavailable at any time. These features may contain errors, produce unexpected results, or change without notice.

You should not rely on beta or experimental features as the sole method for managing critical deadlines, legal obligations, court schedules, client communications, transcript work, billing, calendar commitments, or time-sensitive matters.

7. Cancellations, Refunds, and Plan Changes

You may cancel a subscription according to the cancellation tools or instructions made available through the Services or by contacting VeriQal support. Canceling a subscription may stop future billing but does not automatically create a refund for prior charges unless required by law or expressly stated in writing.

VeriQal may modify pricing, plan features, seat limits, access levels, included services, subscription structures, or available features. When appropriate or required, VeriQal may provide notice of material changes.

Continued use of the Services after changes become effective means you accept the updated pricing, plan, access level, or feature structure.

8. User Content and Workspace Data

Users may enter, upload, store, sync, submit, manage, generate, or transmit information through VeriQal, including but not limited to names, emails, company information, client information, court information, case or matter details, scheduling information, job details, hearing or deposition details, reporter assignments, notes, templates, calendar events, documents, files, workflow data, and other information entered into the Services (“User Content”).

You retain ownership of User Content you submit to VeriQal, subject to the rights and permissions needed for VeriQal to operate, maintain, secure, troubleshoot, and improve the Services.

By submitting User Content, you grant VeriQal a limited, non-exclusive, worldwide right to host, process, transmit, display, store, back up, copy, use, and otherwise handle User Content as reasonably necessary to provide the Services, support your account, maintain security, troubleshoot issues, comply with legal obligations, and improve platform functionality.

You represent and warrant that you have all rights, permissions, authority, and legal basis necessary to enter, upload, sync, submit, share, manage, or process User Content through VeriQal.

You are solely responsible for ensuring that your User Content does not violate law, court rules, privacy rights, intellectual property rights, confidentiality duties, protective orders, professional obligations, employment obligations, client instructions, contract terms, or third-party rights.

9. Legal-Support and Court-Related Information

VeriQal may be used in connection with legal support workflows, court reporting scheduling, hearing scheduling, deposition scheduling, transcript-related workflow, client communications, assignment management, and administrative case-related processes.

VeriQal does not independently verify the accuracy, legality, admissibility, privilege status, confidentiality status, filing status, transcript status, deadline status, scheduling accuracy, court compliance, or professional compliance of information entered by users.

Users are solely responsible for reviewing and verifying all job details, calendar entries, dates, times, locations, court information, party names, case numbers, attendees, assignments, transcript details, exports, documents, communications, and deadlines before relying on them.

VeriQal is not responsible for missed deadlines, incorrect scheduling information, user-entered errors, incomplete information, incorrect attendee information, calendar conflicts, court rule compliance, legal strategy, professional obligations, or any consequences resulting from inaccurate, incomplete, delayed, or improperly entered information.

10. Calendar Sync and Third-Party Integrations

VeriQal may allow users to connect third-party services, including but not limited to Google Calendar, Outlook Calendar, email services, payment processors, hosting providers, analytics providers, authentication tools, storage tools, and other integrations.

If you choose to connect a third-party service, you authorize VeriQal to access, use, transmit, and process information from that service as necessary to provide the requested feature.

For example, if you connect a calendar, VeriQal may access calendar-related information to create, display, update, sync, manage, or organize calendar events connected to your VeriQal jobs, assignments, or workflow.

VeriQal’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

VeriQal does not sell Google user data. VeriQal does not use Google user data for advertising. VeriQal does not transfer Google user data except as necessary to provide or improve user-facing features, comply with law, protect security, prevent misuse, or as otherwise directed by the user.

Third-party services are not controlled by VeriQal. VeriQal is not responsible for the availability, accuracy, outages, limitations, errors, security practices, privacy practices, policy changes, data handling, or performance of third-party services outside VeriQal’s control.

Your use of third-party integrations may also be governed by the third party’s own terms, policies, permissions, and privacy practices.

11. Acceptable Use

  • use VeriQal for unlawful, fraudulent, abusive, deceptive, harmful, or unauthorized purposes;
  • access or attempt to access accounts, workspaces, systems, data, integrations, billing information, admin functions, or features without authorization;
  • interfere with, disrupt, damage, overload, reverse engineer, scrape, crawl, copy, attack, or compromise the Services;
  • upload, transmit, or introduce malicious code, viruses, malware, spyware, ransomware, or harmful content;
  • bypass or attempt to bypass seat limits, payment requirements, subscription controls, access restrictions, security settings, role permissions, or authentication systems;
  • impersonate another person, company, user, client, reporter, attorney, administrator, or organization;
  • misrepresent your authority to use, enter, upload, sync, or share information;
  • enter or upload information you are not authorized to manage, process, or share;
  • use VeriQal to violate court rules, privacy laws, confidentiality duties, professional obligations, protective orders, client instructions, or third-party rights;
  • transmit spam, harassment, threats, abusive content, unlawful content, or misleading communications;
  • copy, sell, resell, lease, sublicense, distribute, or commercially exploit the Services except as expressly permitted in writing;
  • use the Services to develop, train, improve, benchmark, or support a competing product or service without VeriQal’s written permission;
  • remove, obscure, or alter proprietary notices, branding, disclaimers, or intellectual property notices;
  • use automation, bots, scripts, or scraping tools in a way that harms, overloads, or improperly accesses the Services.

VeriQal may investigate suspected misuse and may suspend, restrict, or terminate access if we determine that a violation has occurred or that continued access may create legal, operational, security, financial, reputational, or user-safety risk.

12. Security

VeriQal uses reasonable administrative, technical, and organizational safeguards designed to help protect information from unauthorized access, loss, misuse, alteration, or disclosure. These safeguards may include access controls, login protections, role-based permissions, secure hosting practices, activity records, limited administrative access, and other reasonable security measures.

However, no online platform, internet transmission, electronic storage method, software system, or security practice can be guaranteed to be completely secure. VeriQal cannot promise that unauthorized access, data loss, service interruption, cyberattack, user error, third-party failure, or other security incident will never occur.

Users are responsible for protecting their login credentials, using secure devices and networks, limiting workspace access, reviewing user permissions, removing users who should no longer have access, and promptly reporting suspected unauthorized access or misuse.

13. Service Availability

VeriQal works to provide reliable Services, but we do not guarantee uninterrupted, error-free, timely, secure, or permanently available access.

The Services may be unavailable, delayed, limited, interrupted, or changed due to maintenance, updates, hosting issues, internet problems, software bugs, third-party failures, security concerns, user device issues, force majeure events, or other factors.

VeriQal is not liable for service interruptions, downtime, delays, data sync issues, calendar failures, integration failures, loss of access, or inability to use the Services except as required by law or expressly stated in a separate written agreement.

14. Platform Changes

VeriQal may modify, improve, update, suspend, replace, limit, or discontinue any feature, plan, workflow, dashboard, interface, subscription, integration, or part of the Services at any time.

VeriQal may also release new products, modules, names, features, or service tiers under the VeriQal brand.

We are not liable for any modification, suspension, limitation, or discontinuation of the Services except as required by law or expressly stated in a separate written agreement.

15. Intellectual Property

VeriQal, including its name, logo, software, source code, object code, design, platform structure, workflows, features, layouts, user interface, graphics, branding, documentation, templates, databases, systems, content, and related materials, is owned by VeriQal, LLC or its licensors and is protected by intellectual property laws.

These Terms do not transfer ownership of VeriQal’s intellectual property to you. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Services according to these Terms and your authorized access level.

You may not copy, modify, reproduce, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, create derivative works from, or commercially exploit VeriQal’s intellectual property except as expressly allowed in writing.

16. Feedback and Suggestions

If you provide feedback, suggestions, ideas, feature requests, comments, bug reports, improvements, or other input about VeriQal, you agree that VeriQal may use, modify, implement, commercialize, or incorporate that feedback without restriction, compensation, attribution, approval, or obligation to you.

Providing feedback does not give you ownership rights in VeriQal, any feature, software update, product improvement, workflow, business idea, or related intellectual property.

17. Confidentiality and Professional Responsibility

Users may enter sensitive, private, confidential, privileged, protected, business, client, court-related, or professional information into VeriQal.

Users are solely responsible for determining whether VeriQal is appropriate for their intended use and for complying with all confidentiality duties, client obligations, court orders, agency requirements, professional rules, protective orders, data-handling requirements, and privacy obligations that apply to their work.

VeriQal does not independently determine whether information is privileged, confidential, sealed, protected, restricted, subject to a protective order, or subject to special handling. Users should not enter, upload, share, sync, or transmit information unless they are authorized to do so.

18. Data Retention and Account Deletion

VeriQal may retain information for as long as reasonably necessary to provide the Services, maintain accounts, support business records, comply with legal obligations, resolve disputes, enforce agreements, prevent misuse, protect security, troubleshoot issues, process billing, maintain audit records, and support legitimate business operations.

Users may request account changes or deletion by contacting VeriQal. Deletion requests may be limited by legal, contractual, tax, billing, backup, audit, security, fraud-prevention, dispute, or business record retention requirements.

Deletion of an account or workspace may result in loss of access to User Content, settings, calendar data, job records, exports, invitations, templates, workflow history, and other information associated with the account.

19. Privacy

Your use of the Services is also governed by the VeriQal Privacy Policy. The Privacy Policy explains how VeriQal collects, uses, stores, shares, and protects information.

By using the Services, you agree to the VeriQal Privacy Policy.

20. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, VeriQal disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, error-free operation, and suitability for any particular legal, professional, business, court reporting, transcript, scheduling, or compliance purpose.

VeriQal does not warrant that the Services will meet your requirements, operate without interruption, be completely secure, be free of errors, preserve every item of data, prevent every unauthorized access event, sync every calendar event correctly, identify every user error, or produce results that are accurate, complete, legally compliant, professionally compliant, or suitable for your specific obligations.

You are responsible for reviewing, verifying, backing up, and confirming all information, deadlines, calendar entries, job details, exports, communications, documents, and work product before relying on them.

21. Limitation of Liability

To the fullest extent permitted by law, VeriQal, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, service providers, successors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including but not limited to lost profits, lost revenue, lost business, lost data, lost goodwill, service interruption, missed deadlines, inaccurate entries, calendar errors, third-party failures, unauthorized access, business disruption, professional consequences, client disputes, legal consequences, or loss of opportunity.

To the fullest extent permitted by law, VeriQal’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to VeriQal for the Services during the three months immediately before the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless VeriQal, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, service providers, successors, and representatives from and against any claims, demands, damages, liabilities, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use or misuse of the Services;
  • your account, workspace, users, invitees, employees, contractors, clients, or representatives;
  • your User Content;
  • your violation of these Terms;
  • your violation of any law, regulation, court rule, professional duty, confidentiality obligation, contract, policy, or third-party right;
  • your unauthorized access, sharing, syncing, or processing of information;
  • your reliance on information entered into, generated by, synced with, exported from, or managed through the Services;
  • your failure to review, verify, correct, or back up information;
  • disputes between you and your clients, users, team members, contractors, attorneys, reporters, agencies, or third parties.

23. Suspension and Termination

VeriQal may suspend, limit, or terminate your account, workspace, subscription, integrations, features, or access if:

  • you violate these Terms;
  • payment fails or a subscription ends;
  • you misuse the Services;
  • your account creates security, legal, operational, financial, reputational, or user-safety risk;
  • you provide inaccurate account, workspace, billing, or user information;
  • you attempt unauthorized access;
  • required by law, court order, government request, or third-party provider requirement;
  • VeriQal discontinues or changes the Services;
  • continued access may harm VeriQal, users, or third parties.

Upon termination, your right to use the Services ends immediately. Certain provisions of these Terms will survive termination, including provisions related to payment obligations, intellectual property, feedback, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any provisions that by their nature should survive.

24. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, unless applicable law requires otherwise.

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Virginia, and you consent to personal jurisdiction and venue in those courts.

25. Changes to These Terms

VeriQal may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.

VeriQal may provide additional notice of material changes when appropriate, but you are responsible for reviewing the Terms periodically.

Your continued use of the Services after updated Terms are posted means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
