VERIQAL PAYMENT, SUBSCRIPTION, CANCELLATION, AND REFUND AGREEMENT

This Payment, Subscription, Cancellation, and Refund Agreement (“Payment Agreement”) explains how purchases, subscriptions, recurring billing, cancellations, refunds, and payment access work for VeriQal.
By purchasing, subscribing, creating an account, clicking a checkout button, entering payment information, or using VeriQal after purchase, you agree to this Payment Agreement and the VeriQal End User License Agreement.
1. Products and Plans
VeriQal may offer multiple products, plans, subscriptions, modules, or bundles, including but not limited to:

Beta, early-access, limited-release, annual, monthly, discounted, promotional, or bundled plans.
Features may vary by plan. VeriQal may add, remove, rename, improve, limit, or modify features over time.
2. Current Introductory Pricing
Unless otherwise stated at checkout, VeriQal’s introductory first-year pricing may include:

Annual plans are billed upfront for the full annual term.
Monthly plans are billed monthly until canceled.
Introductory pricing may be limited to the first year, early release, beta access, promotional periods, or launch pricing. Prices may increase after the first year or at renewal if disclosed before the renewal date.
3. Automatic Renewal
VeriQal subscriptions automatically renew unless canceled before the renewal date.
By purchasing a subscription, you authorize VeriQal and its payment processor to charge your payment method automatically at the subscription interval you selected, including monthly or annually.
Your subscription will continue until canceled, expired, suspended, terminated, or otherwise ended under this Payment Agreement.
4. Payment Authorization
You authorize VeriQal, LLC and its third-party payment processor to charge your selected payment method for:

Subscription fees.

Renewal fees.
-
Applicable taxes.
-
Plan upgrades.
-
Add-ons or additional services you choose.
-
Any other charges clearly disclosed at checkout or agreed to by you.
You represent that you are authorized to use the payment method provided.
5. Payment Processor
Payments may be processed by a third-party payment processor, such as Stripe. VeriQal does not control every payment-processing rule, bank approval, card decline, payment hold, dispute process, processing delay, or third-party payment error.
Your payment information may be handled by the payment processor according to that processor’s terms and privacy practices.
6. Taxes
Prices may not include taxes unless stated otherwise. You are responsible for applicable sales tax, use tax, VAT, transaction taxes, or other government charges required by law.
7. Subscription Access
Access to VeriQal is provided after payment is successfully verified. Payment alone does not guarantee immediate access if payment verification, account creation, email confirmation, subscription matching, or technical setup is incomplete.
If your payment is successful but access is not automatically created, contact hello@veriqal.com.
8. Account Creation After Purchase
After purchase, you may be directed to create your VeriQal account. VeriQal may use the email address provided during checkout to verify your subscription and associate your purchase with your account.
You are responsible for entering accurate checkout and account information.
If you use one email to pay and another email to create an account, access may be delayed until manually verified.
9. Failed Payments
If a payment fails, VeriQal may retry the payment, notify you, suspend access, restrict features, cancel the subscription, or require updated payment information.
You remain responsible for unpaid amounts incurred before cancellation or suspension.
10. Upgrades and Downgrades
If you upgrade your plan, you may be charged the difference, a prorated amount, or the new plan amount depending on the billing setup at the time of upgrade.
If you downgrade your plan, the change may take effect immediately or at the next billing cycle, depending on the billing setup. VeriQal is not required to refund the difference for downgrades unless stated at checkout or required by law.
11. Cancellation Policy
You may cancel your subscription before the next renewal date.
Cancellation stops future renewal charges. Cancellation does not automatically refund prior payments.
To cancel, use one of the available cancellation methods provided by VeriQal, which may include:

Your VeriQal account settings.

A Stripe customer portal or subscription-management link.
-
Emailing hello@veriqal.com with your account email and cancellation request.
For transparency and compliance, VeriQal should maintain a clear online cancellation option for subscriptions purchased online.
12. Cancellation Deadline
To avoid renewal, you must cancel before your next billing date.
If your subscription renews before you cancel, the renewal charge may be final unless a refund is required by law or approved by VeriQal in writing.
13. Refund Policy
Unless otherwise stated at checkout or required by law:

Monthly subscription payments are non-refundable after billing.

Annual subscription payments are non-refundable after billing.

Partial months are not refunded.

Unused time is not automatically refunded.

Setup fees, add-ons, custom work, implementation, onboarding, or special services are non-refundable unless stated otherwise.

Beta, early-access, discounted, promotional, or launch-pricing purchases are non-refundable unless stated otherwise.
VeriQal may choose to issue a refund at its sole discretion. Issuing one refund does not require VeriQal to issue future refunds.
14. Free Trials and Promotions
If VeriQal offers a free trial or promotional period, the terms will be disclosed at checkout or signup.
If a free trial converts to a paid subscription, you authorize VeriQal and its payment processor to charge your payment method when the trial ends unless you cancel before the trial expiration.
If no free trial is expressly offered, your subscription begins at purchase.
15. Price Changes
VeriQal may change pricing, plan structures, features, discounts, introductory rates, or renewal rates.
For active recurring subscriptions, VeriQal will provide notice of material price changes before the new price applies to your renewal when required by law or payment processor rules.
If you do not agree to the new price, you must cancel before renewal.
16. Introductory First-Year Pricing
If you purchase a first-year introductory plan, you understand that the price may increase after the first year. Features may also expand, change, or improve over time.
Your checkout page, website, or plan description may state whether your first-year rate is promotional, discounted, introductory, or subject to later increase.
17. Chargebacks and Payment Disputes
If you believe there is a billing error, contact hello@veriqal.com before filing a chargeback so VeriQal can review the issue.
VeriQal may suspend or terminate access if a chargeback, dispute, payment reversal, fraud claim, or unauthorized payment claim is filed.
Filing a chargeback does not automatically cancel your subscription. You should still cancel through the proper cancellation method.
18. No Guarantee of Business Results
VeriQal does not guarantee that using the platform will result in income, clients, court acceptance, agency approval, transcript approval, legal compliance, productivity improvement, error elimination, deadline protection, or business success.
You are responsible for your own professional judgment, client obligations, court obligations, business decisions, and final work product.
19. No Lifetime Access Unless Expressly Stated
A purchase does not provide lifetime access unless the checkout page expressly states “lifetime access.”
Subscription access lasts only while the subscription is active, paid, and in good standing.
20. Termination for Nonpayment or Misuse
VeriQal may suspend or terminate access for failed payment, nonpayment, unauthorized use, abuse, security concerns, violation of terms, chargeback activity, or misuse of the platform.
21. Agreement to Electronic Communications
You agree that VeriQal may send account, billing, subscription, cancellation, renewal, payment, product, support, and legal notices electronically by email, website posting, platform notice, or payment-processor notice.
You are responsible for keeping your email address current.
